What's this guy after?

Hi there....VERY new to all this so bear with me! :-)
Basically, there's this guy I met at work a few months ago. We get on really well and share most interests. I myself have just ended my relationship with my fiance and am currently signed off work due to stress. He has just finished a relationship with his previous lady who is very poorly.
He opened up to me a little by saying 'its very hard to see her' (his ex), and I offered him a listening ear BUT he said he was ok. At the same time he said 'but I worry about you, you seem wound up most of the time'. He said he would like to open up the 'can of worms' I call myself one of these days.
I get the long gazes, the flirting, the mixed up behaviour from him. He texts me out of the blue something random, and calls me after work randomly to see how I am. Oddly he gets on really well with my ex, and has told me 'he likes him'.
My ex and I still get on really well (its just a trust issue-hence my ending it) and when this guy sees us getting on well he keeps away. He has a laugh with my ex lots though. I'm not the sort of person to have sex unless I'm in a relationship-I refuse to do that.
Incidentally, this guy says 'he doesnt want a relationship' (out of the blue comment) BUT then asked 'what I thought about it'. My friends agree he was simply testing the waters.
I'm sorry if this appears a right old little mess, I just need someone to be able to tell it me straight from the outside.
